1. Agreement to Terms
By accessing or using the website at www.lute.co.in, or by engaging LUTE India for any services, you agree to be bound by these Terms of Service and all applicable laws and regulations of India. If you do not agree, please do not use our website or services.
These terms constitute a legally binding agreement between you ("Client", "you") and LUTE India ("we", "us", "our").
2. Services
LUTE India provides e-commerce empowerment services including marketplace setup, storefront development, logistics management, RTO and COD management, order management systems, and custom business operations software.
The specific scope, deliverables, timelines, and fees for any engagement will be agreed in writing via a separate Service Agreement or Statement of Work before work commences. These Terms of Service apply in addition to and alongside any such agreement.
3. Use of Website
You agree to use this website only for lawful purposes. You must not:
- Use the website in any way that violates applicable Indian or international laws
- Transmit any unsolicited or unauthorised advertising or promotional material
- Attempt to gain unauthorised access to any part of our website or servers
- Scrape, copy, or reproduce any content from this website without written permission
- Use the website in any manner that could damage or impair its availability
4. Intellectual Property
All content on this website — including text, design, graphics, logos, and code — is the intellectual property of LUTE India and is protected under the Copyright Act, 1957 (India). You may not reproduce, distribute, or create derivative works from any content without our express written consent.
Any custom tools, dashboards, or software we build for a client will have intellectual property terms specified in the individual Service Agreement.
5. Client Responsibilities
When engaging our services, you agree to:
- Provide accurate and complete business information required to deliver the services
- Ensure you hold all necessary rights, licences, and authorisations for products listed on your behalf
- Comply with the terms and policies of all marketplace and platform providers (Amazon, Flipkart, Shopify, etc.)
- Respond to requests for information or approvals within reasonable timeframes to avoid delays
- Maintain the security of login credentials provided to you
6. Fees and Payment
Service fees will be specified in your Service Agreement. Unless otherwise agreed:
- Invoices are payable within 15 days of the invoice date
- Late payments may incur interest at 1.5% per month on the outstanding amount
- We reserve the right to suspend services for accounts with overdue payments
- All fees are exclusive of GST, which will be charged at the applicable rate
7. Limitation of Liability
To the maximum extent permitted by Indian law, LUTE India shall not be liable for:
- Indirect, incidental, or consequential losses arising from use of our services
- Losses arising from marketplace platform decisions, policy changes, or account suspensions by third-party platforms
- Losses arising from courier delays, damage, or failures by third-party logistics providers
- RTO rates that do not meet a particular target, where such targets were indicative and not contractually guaranteed
Our total aggregate liability under any Service Agreement shall not exceed the total fees paid by you in the three months preceding the claim.
8. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. LUTE India will not disclose your business data, financials, or operational details to third parties except as required to deliver the agreed services or as required by law.
9. Termination
Either party may terminate a Service Agreement with 30 days' written notice. Upon termination:
- All outstanding fees for work completed become immediately payable
- We will transfer all accounts, credentials, and assets back to you within 7 business days
- You retain full ownership of all your marketplace accounts, domains, and platforms
10. Governing Law
These Terms of Service are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India. We encourage resolution of disputes through direct communication before any legal proceedings.
11. Changes to These Terms
We may update these terms from time to time. Continued use of our website or services after changes constitutes acceptance. We will update the "Last updated" date at the top of this page when changes are made.
